These Terms of Service ("Terms") govern your access to and use of the website located at strixvisionai.com (the "Website") operated by Strix Vision Inc. ("Strix Vision," "we," "us," or "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.
These Terms apply to your use of the Website only. Commercial use of Strix Vision's investigative documentation platform (the "Service") is governed by a separate Master Service Agreement ("MSA") executed between Strix Vision and the customer agency or organisation. Nothing on this Website constitutes a binding offer to license or deploy the Service.
You may access the Website to obtain information about Strix Vision and our products, request a demonstration, submit a contact inquiry, or otherwise interact with the public-facing materials we publish.
You agree not to:
All content on the Website — including text, graphics, logos, product names, designs, and software — is owned by Strix Vision Inc. or licensed to Strix Vision and is protected by Canadian and international intellectual property laws.
You may view and download Website content for personal, non-commercial reference only. Any other use, including reproduction, redistribution, modification, or commercial exploitation, requires our prior written permission. The "Strix Vision," "Strix Vision AI," and "Strix" names and any associated marks are trademarks of Strix Vision Inc. and may not be used without authorisation.
If you submit a demo request, contact form, or other inquiry, you authorise Strix Vision to contact you using the information you provide for the purpose of responding to your request. Information you submit is handled in accordance with our Privacy Policy.
A demo request does not create any commercial relationship or obligation between you and Strix Vision. Any commercial engagement requires a separately negotiated and executed agreement.
The Website and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. Strix Vision makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any information presented on the Website.
Information on the Website is provided for general reference only. It is not legal, professional, technical, or operational advice and should not be relied upon for any decision without independent verification. Product capabilities, roadmap items, and pricing references on the Website are illustrative; binding commercial terms are set out only in an executed Master Service Agreement.
To the fullest extent permitted by law, Strix Vision disclaims all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Strix Vision Inc., its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Website, including but not limited to loss of profits, loss of data, business interruption, or reputational harm — even if Strix Vision has been advised of the possibility of such damages.
In any event, Strix Vision's aggregate liability arising out of or related to the Website is limited to one hundred Canadian dollars (CAD $100).
This limitation does not apply to any liability that cannot lawfully be excluded under Canadian consumer protection law or otherwise applicable law.
You agree to indemnify, defend, and hold harmless Strix Vision Inc., its directors, officers, employees, contractors, and affiliates from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Website, or your violation of any applicable law or third-party right in connection with your use of the Website.
The Website may contain links to third-party websites or reference third-party services. Strix Vision does not control and is not responsible for the content, privacy practices, or operation of any third-party site or service. Your use of any third-party site or service is at your own risk and subject to that third party's terms.
Strix Vision may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on the Website with a revised "Last Updated" date. Your continued use of the Website after changes become effective constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising out of or related to these Terms or the Website will be resolved in the courts of the Province of Ontario, and you consent to the exclusive jurisdiction of those courts, except that Strix Vision retains the right to seek injunctive or equitable relief in any court of competent jurisdiction.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.
